This End User License Agreement ("EULA") is a legal agreement between Morton Rentals LLC d/b/a American Rentals ("Licensor") and the business entity and its authorized users that install, access, or use the American Rentals QuickBooks Online connector, including any optional local component (for example, a Power BI custom connector .mez file) and related documentation (collectively, the "Software"). By clicking authorize, installing, or using the Software, you accept this EULA on behalf of your organization and represent that you have authority to bind it. If you do not agree, do not install or use the Software.
This EULA governs your license to the Software. Access to our hosted OAuth broker or other online services is governed by the Terms of Use. Processing of tokens and identifiers is described in the Privacy Policy. If there is a conflict, this EULA controls for licensing and the Terms of Use control for service access.
Subject to this EULA, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install (where applicable) and use the Software solely to connect your QuickBooks Online company to your analytics environment (including Microsoft Power BI) for your internal business purposes.
You will not (and will not permit anyone to):
Licensor and its licensors retain all right, title, and interest in and to the Software and documentation, including all intellectual property rights. The Software is licensed, not sold. If you provide feedback, suggestions, or improvements, you grant Licensor a perpetual, irrevocable, royalty-free license to use and incorporate them without restriction.
The Software interoperates with third-party services (including Intuit and Microsoft) that are subject to their own terms and policies. The Software may include or be distributed with open-source components governed by their own licenses; those licenses apply to the open-source components, and copies of applicable notices will be provided upon request.
Licensor may provide updates or patches. You consent to receive and install updates. Updates are part of the Software and subject to this EULA. Licensor may modify or deprecate features that rely on third-party APIs or policies.
You are responsible for securing any administrator credentials you hold. OAuth tokens handled by the Software are processed as described in the Privacy Policy and stored only within Licensor's protected systems for as long as needed to maintain the connection.
Licensor provides commercially reasonable support via email at analytics@americanrental.com. Licensor may publish support hours and response targets separately.
If fees apply to your use of the Software, they will be set out in an order form or separate agreement. Nonpayment may result in suspension or termination of the license.
This EULA begins when you first install or use the Software and continues until terminated. You may terminate by uninstalling the Software and revoking access within QuickBooks Online. Licensor may terminate immediately if you breach this EULA or if required by Intuit or Microsoft. Upon termination, you must cease use and uninstall; license rights end, and any cached tokens will be invalidated or deleted as described in the Privacy Policy.
The Software is not designed for life-support, critical infrastructure, or other high-risk environments where failure could lead to death, personal injury, or severe property or environmental damage.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. LICENSOR'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SOFTWARE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID DIRECTLY TO LICENSOR FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100) IF NO SUCH AMOUNTS WERE PAID.
You will defend, indemnify, and hold Licensor harmless from third-party claims and liabilities arising from your unlawful use of the Software, your breach of this EULA, or your violation of third-party rights.
You represent that you are not barred by export controls or sanctions and will comply with applicable laws. If you are a United States Government end user, the Software is "Commercial Computer Software" and licensed only with the rights granted to other end users under this EULA (48 C.F.R. § 12.212).
Illinois law governs, excluding conflict-of-law rules. Any dispute arising out of or relating to this EULA will be resolved by confidential, binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association before a single arbitrator seated in Peoria County, Illinois. Either party may seek injunctive relief in courts sitting in Peoria County to protect its rights or to enforce an award. No class or representative actions are permitted.
This EULA is the entire agreement between you and Morton Rentals LLC d/b/a American Rentals on its subject and supersedes prior or contemporaneous understandings for the Software. If a court finds any provision unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect. You may not assign this EULA without Licensor's consent; Licensor may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
